General Representation
BWM&S attorneys have acted as outside general counsel for businesses including early stage, closely held, middle market, and publicly traded companies advising clients on both business and legal issues. We regularly negotiate debt and equity financings; draft, negotiate and enforce vendor, customer and employee contracts; prepare stock option and employee benefit plans; resolve corporate governance and succession issues; and restructure loan and debt obligations. We also advise clients on joint ventures, strategic relationships and licensing and technology partnerships.
Mergers & Acquisitions

Corporate Finance
We have assisted borrowers, lenders, issuers and underwriters in all facets of debt and equity financings, including traditional bank lending, debt restructurings, venture capital financings, private offerings, angel investments, and public offerings. Our corporate attorneys are known and respected for their knowledge and experience in taxation and securities regulations with respect to corporate financing transactions. We have extensive experience in all aspects of securities law and have represented issuers, underwriters, municipalities, lenders and financial institutions in connection with public and private offerings of equity and debt securities, including taxable and tax-exempt bonds. We regularly counsel publicly traded companies on the preparation of proxy materials, annual reports and other required disclosure materials to be filed with the Securities and Exchange Commission. We also advise clients regarding regulatory and compliance matters relating to state and federal securities laws.
