Kenneth Richman concentrates his practice in the areas of Corporate, Labor and Employment, and Health Care law at Burke, Warren, MacKay & Serritella. For more than thirty years, he has served as general corporate counsel to privately held businesses including middle market manufacturers and distributors, start-up entities, and service providers, and he has represented business owners and their families in a broad variety of personal and business planning matters. Mr. Richman's experience encompasses a wide variety of commercial transactions; domestic and foreign investment and sourcing matters; and organizational, governance, succession planning, and creditor issues. His Labor and Employment practice includes representation of management in union organizing, bargaining, arbitration, mediation, strategic planning, and employment practices. Additionally, Mr. Richman has a consulting practice that assists businesses and not-for-profit organizations in the implementation of complex change and employee engagement initiatives.

 

Representative corporate transactions:

·       Management buyout of middle market, packaging manufacturing subsidiary of international parent entity

·       Sale of assets of middle market, specialty metal fabricator

·       Recapitalization, conversion to limited liability company, and sale of non-voting interests of middle market construction contractor to trusts established for family members of founders

·       Purchase of industrial production facilities by principals of closely held manufacturer and distributor and leaseback to controlled corporate entity

·       Redemption of equity of stockholder (and related family members) in closely held, middle market service entity

·       Ownership succession plan for small industrial products distributor, including equity purchase, buy/sell, and employment agreements for key management employees

·       Purchase of assets (including negotiation of new financing) of service entity out of Chapter 11 bankruptcy proceedings

·       Buy-out of preferred membership interests and refinancing and recapitalization of real estate management and development entity

·       Corporate formation, funding, and contractor contracts for social media start-up

·       Contract for equity investment and employment of new equity partner for small real estate management company

 

 

Representative labor/employment and consulting projects:

  • Developed and implemented plan to relocate work from unionized to non-unionized facilities for large, national service organization
  • Negotiated multiple union contracts for small and middle market companies and for multi-employer bargaining groups
  • Structured and successfully defended “double-breasted” operations in NLRB and grievance/arbitration proceedings for large service organization
  • Developed and implemented “patient satisfaction” initiative for large health care system
  • Developed and implemented “employee engagement” initiatives for academic medical center and large, not-for-profit service organizations
  • Successfully defended small and middle market employers in age and disability discrimination claims before the EEOC and IDHR
  •  Prepared and updated employee handbooks for multiple clients
