Krista A. Smith concentrates her practice at Burke, Warren, MacKay & Serritella in the area of Corporate law, representing middle market companies, individual business owners, and municipal corporations. She assists Burke, Warren clients with the formation and general legal issues of business organizations; the purchase or sale of companies; public, private, and governmental financing; and a wide variety of other transactional matters. Ms. Smith regularly advises clients and negotiates and drafts various transactional documents such as operating agreements, asset purchase agreements, stock purchase agreements, non-disclosure and confidentiality agreements, supply agreements, license agreements, and corporate governance documents.

Ms. Smith joined the firm as a summer associate in 2012. She earned her B.A., magna cum laude, from New York University in 2008, where she majored in Anthropology (Honors), and was awarded her J.D., summa cum laude, from The John Marshall Law School in 2013, where she served as a Staff Editor for The John Marshall Law Review and was on the Executive Board for the Corporate Law Association. 


  • Represented Sellers in the $100+ million sale of food and beverage manufacturing company to a publicly traded international company
  • Represented Seller in sale of food and beverage consulting firm to established national public relations agency
  • Represented Seller in sale of radio stations to a privately held broadcasting company
  • Represented Buyer in carve-out transaction for the acquisition of an outdoor product division from privately-held global manufacturing and marketing company 
  • Represented Buyer in acquisition of an Illinois technology manufacturing company through reverse triangular merger
  • Represented a municipal corporation in its $25 million affordable housing project using both federal low-income-housing tax credits and Illinois affordable housing tax credits
  • Prepared official statement and disclosure documentation for $292 million City of Chicago Wastewater Transmission revenue bonds and $367 million City of Chicago Water revenue bonds (Firm served as disclosure co-counsel to the City)
  • Regularly draft, review and negotiate various agreements as outside transactional counsel to various companies ranging from closely-held, locally based entities to global corporations
