Profile
Stephen Voris concentrates his practice in business litigation and corporate affairs. He represents clients nation-wide in a variety of industries, including financial services, technology, real estate, manufacturing, healthcare, construction and government. His litigation experience has involved all matters of dispute in these industries ranging from securities issues, employment, transactional, regulatory, lending, foreclosure, leasing, corporate governance, business raiding, partnerships, tax and white-collar crime. Mr. Voris has litigated in several state and federal trial courts, as well as in appellate and supreme courts. He has represented clients in regulatory investigations launched by public agencies as well as self-regulated organizations (SRO) including “FINRA”, Chicago Board of Trade/CME and in arbitrations before these SROs, the American Arbitration Association, National Futures Association, NYSE and JAMS.
In addition, clients call upon Mr. Voris to provide counsel as a means of “litigation preclusion” in strategic business planning and internal corporate investigations. He has acted as counsel for established businesses as well as entrepreneurs, partnerships, broker/dealers, investment advisory firms and limited liability companies. He has advised the Boards of both closely held and publicly traded corporations in mergers, sales, capital investment, lending and employment matters in efforts to avoid litigation.

- Represented an international securities trading technology firm in a “bet the ranch” dispute with NASDAQ
- Represented regional banking institution in workout of multistate, distressed loan portfolio involving approximately $190 million in commercial real estate interests and manufacturing concerns
- Litigated on behalf of privately held industrial operation against multinational creditor in foreign judgment dispute
- Conducted internal investigation for food processing concern following embezzlement by former CFO and minority shareholder
- Represented international financial services firm advisors in dispute over non-competition restriction and alleged misuse of trade secrets
- Defended former CFO of publicly traded news organization in civil securities fraud litigation following federal criminal conviction
- Represented members wrongfully removed from a national not-for-profit in corporate governance challenge against Board of Directors
- Represented former CEO of a national public accounting firm in indemnification claims following acquittal in criminal case
- Represented multi-family office in multi-state investment dispute
- Litigated on behalf of a private equity company over employee theft and unfair competition
- Represented CMO of major pharmaceutical concern in employment and regulatory matters
- Represented CFO of privately equity portfolio company in wrongful removal and dispute over ownership interests
- Litigated partnership dispute over ownership and control of breeding rights in national equine champion
